01.Acceptance of Terms
By accessing, signing up for or using any EloAppz product, website, API or dashboard (together, the “Service”), you agree to these Terms & Conditions and our Privacy Policy. If you are accepting on behalf of an organisation, you confirm you are authorised to bind that organisation.
If you do not agree, please discontinue use of the Service.

02.Our Services
EloAppz provides cloud communication products including omni-channel inbox, click-to-call, app-based calling SDKs, cloud IVR, WhatsApp chatbot, bulk voice calling, missed-call services, document collection bot and AI debt-recovery agents. Specific features, limits and SLAs are described in your order form, plan page or written commercial proposal.
What this means for you
What you sign up for is what you get, every commitment is written down before you pay.
03.Accounts & Access
- You are responsible for keeping your login credentials, API keys and webhook secrets confidential.
- You agree to provide accurate registration information and keep it current.
- You will notify us immediately of any unauthorised access or suspected breach of your account.
- We may suspend or terminate access if we reasonably believe the Service is being misused, poses a security risk, or is used in violation of these Terms or applicable law.
What this means for you
Clear account hygiene rules help us protect your data and your customers from unauthorised access.
04.Billing, Plans & Taxes
- Subscription fees are billed in advance for the period you select (monthly, quarterly or annual).
- Usage-based charges (voice minutes, WhatsApp conversations, AI minutes, SMS) are metered and billed as per your plan.
- All fees are exclusive of GST and any other applicable statutory taxes, which will be added at the prevailing rate.
- Invoices are due on the date stated; we may suspend service or charge interest on overdue amounts at the maximum rate permitted by law.
- Price changes take effect at your next renewal and will be notified in advance.

Predictable billing with itemised invoices means no hidden charges and easy reconciliation with your finance team.
05.Acceptable Use
You agree not to use the Service to:
- Send unsolicited, spam or unlawful communication, or contact users registered on Do-Not-Disturb (DND) registries in violation of TRAI / TCCCPR regulations.
- Send messages that violate the WhatsApp Business Messaging Policy or Meta's Commerce Policy.
- Infringe third-party rights, harass, defraud or impersonate any person or organisation.
- Distribute malware, attempt to disrupt the Service, reverse-engineer it, or probe it for vulnerabilities without prior written permission.
- Resell, sub-license or expose the Service to third parties unless your plan permits it.
You warrant that you have obtained all necessary consents from end-users before uploading their contact details, recording calls or sending them messages through the Service.

Strong acceptable-use rules keep your sender reputation, deliverability and brand safe, the platform stays fast and trusted.
06.Data & Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, process, retain and protect personal data, including under the Digital Personal Data Protection Act, 2023 (DPDP Act) and the Information Technology Act, 2000.
What this means for you
Privacy commitments are referenced inside the contract, they're enforceable, not just marketing copy.
07.Refunds & Cancellations
Refunds and cancellations are governed by our Refund & Cancellation Policy. In short: you can cancel renewals at any time, and you keep access until the end of the period you've already paid for.
08.Service Availability
We work hard to keep the Service available 24×7 and publish uptime targets in your plan or order form. From time to time we will perform scheduled maintenance with prior notice. Voice and messaging services depend on third-party telecom carriers and the WhatsApp Business Platform, which may experience independent outages outside our control.

Honest expectations on uptime mean you can plan campaigns and customer commitments with confidence.
09.Third-Party Services
The Service interoperates with third parties such as telecom operators, the WhatsApp Business Platform (Meta), payment gateways and analytics providers. Their respective terms apply when you use those services through EloAppz. We are not responsible for changes those providers make to their own platforms.
10.Intellectual Property
All right, title and interest in the EloAppz software, dashboards, documentation, brand and underlying technology remain with EloAppz and its licensors. You receive a limited, non-exclusive, non-transferable, revocable licence to use the Service during the subscription term, solely for your internal business purposes. You retain ownership of your data and content uploaded to the Service.
What this means for you
You stay the owner of your customer data, contacts, recordings and conversations, we just process them on your behalf.
11.Confidentiality
Each party will protect the other's confidential information with at least the same degree of care it uses for its own and will use it only to perform under these Terms. Confidentiality obligations survive termination for three years, except for trade secrets which are protected for as long as they remain trade secrets.
12.Warranty Disclaimer
The Service is provided on an “as-is” and “as-available” basis. To the maximum extent permitted by law, EloAppz disclaims all implied warranties including merchantability, fitness for a particular purpose and non-infringement, save where such liability cannot be excluded under applicable law.
13.Limitation of Liability
To the maximum extent permitted by law, EloAppz's total aggregate liability arising out of or relating to the Service in any 12-month period will not exceed the fees you actually paid to EloAppz for the Service in that period. Neither party will be liable for indirect, incidental, special, consequential or punitive damages, loss of profits, revenue, goodwill or data, even if advised of the possibility.

A clear, capped liability framework keeps the relationship balanced and helps both sides plan with certainty.
14.Indemnity
You agree to indemnify and hold EloAppz harmless from any third-party claim, loss or expense (including reasonable legal fees) arising from your breach of these Terms, your violation of applicable law, or your misuse of the Service, including unsolicited communication, lack of end-user consent or infringement of third-party rights.
15.Termination
- You may cancel your subscription at any time through your account or by writing to us.
- We may suspend or terminate your account for material breach, non-payment or unlawful use, with notice where reasonable.
- On termination, your right to use the Service ends. We will make your data available for export for a reasonable period before deletion, subject to legal retention requirements.
- Clauses that by their nature should survive (Intellectual Property, Confidentiality, Liability, Indemnity, Governing Law) will continue in effect.
What this means for you
You can leave at any time and take your data with you, no lock-in, no held-hostage exits.
16.Force Majeure
Neither party will be liable for failure or delay in performance caused by events beyond reasonable control, including natural disasters, telecom or internet outages, war, terrorism, government action, pandemic or industrial action.
17.Governing Law & Jurisdiction
These Terms are governed by the laws of India. Subject to mandatory consumer protection rights, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any dispute arising from or in connection with these Terms or the Service.
18.Modifications
We may update these Terms from time to time to reflect product changes, legal requirements or operational improvements. Material changes will be communicated through the dashboard or by email. Continued use of the Service after the effective date of any update constitutes acceptance of the revised Terms.
19.General
If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect. Failure to enforce a right is not a waiver. These Terms, together with the Privacy Policy, Refund Policy and any order form, constitute the entire agreement between you and EloAppz.
